Terms of Service

ShopNirmaan provides Shopify design, development, migration, optimization, and related consulting services as described on our website or in a signed proposal/statement of work.

Each engagement is governed by a written proposal or statement of work outlining deliverables, timeline, and pricing. Work outside the agreed scope may be billed separately upon mutual agreement.

Unless otherwise agreed in writing, projects require a deposit before work begins, with remaining balances due per the agreed payment schedule. Late payments may result in paused work.

Clients agree to provide timely feedback, content, credentials, and approvals required to keep the project on schedule. Delays caused by the client may extend the project timeline accordingly.

Upon full payment, clients receive ownership of custom deliverables created specifically for their project. ShopNirmaan retains rights to general methodologies, frameworks, and reusable components developed independently of client-specific work.

Shopify, and any third-party apps or services integrated into your store, are governed by their own respective terms. ShopNirmaan is not responsible for changes, outages, or pricing changes made by these third parties.

We warrant that services will be performed in a professional manner consistent with industry standards. To the maximum extent permitted by law, ShopNirmaan's liability is limited to the fees paid for the specific service giving rise to the claim.

Both parties agree to keep confidential information shared during the engagement private, and will sign a separate NDA upon request.

Either party may terminate an engagement with written notice as outlined in the applicable proposal. Fees for work completed up to the termination date remain payable.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
